* "Auckland May 19 2006: SmartPay Ltd, (under the new NZX code of SPY), a developer and distributor of electronic prepay solutions including network distribution for mobile phones and international calling cards, begins trading under the new name on the NZX on Monday following a successful back door listing through Cube Capital Ltd.

A name change to SmartPay was part of the agreement voted by Cube shareholders this week.

At an extraordinary general meeting, Cube agreed to the acquisition of SmartPay New Zealand Ltd and subsidiary company Software International Ltd. Software International owns all rights to the Intellectual Property (IP) used in the Smartpay business. The technology platform also supports gift cards, prepaid internet services and a range of other payment products.

SmartPay has a number of agreements, including with Vodafone and Telecom NZ for prepaid top-up electronic vouchers and international calling cards through EFTPOS and standalone SmartPay terminals.

SmartPay has more than 2000 outlets including a number of high profile route/convenience and retail stores throughout New Zealand. These include Harvey Norman, Retravision, Smiths City/Powerstore, GAS, 100% Electrical, and Hill and Stewart.

SmartPay CEO Mr Linc Burgess says the company is poised for growth and is currently finalizing a number of prepay solutions and business acquisitions in New Zealand and internationally."
