Company: Dairy Equity Limited
Shares on offer: 80 million Shares with provision for over-subscriptions of up to 20 million Shares
Issue Price: $1.00 per Share, payable in two instalments of $0.50. The initial instalment is payable on Application for Shares and the final instalment is payable on three months’ notice by Dairy Equity (which call will be made within two years of allotment of the Shares)
Application fee: 1% on Applications for up to $1 million, by negotiation (to a minimum of 0.25%) on Applications over $1 million
Purpose: Dairy Equity has been established to invest in Fonterra Fair Value Shares by acquiring a beneficial ownership in the shares from Fonterra’s farmer shareholders.
Listing: Application has been made to NZX for permission to list the Shares. All requirements of NZX relating to listing the Shares that can be complied with on or before the date of this Offer Document have been duly complied with. However, NZX accepts no responsibility for any statement in the Offer Document.
Manager: DEL Management Limited (the “Manager”), a joint venture established between ABN AMRO Craigs and GT & Company.
Management fee: 1% of Committed Capital (the percentage reduces as the fund’s total assets exceed certain thresholds) and a success fee of 10% of the amount the annual return to Shareholders outperforms a benchmark rate of 12%, compounding annually. The success fee is payable in Dairy Equity Shares."
